Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the Telic online subscription service (the “Service”) operated by Telic Group Ltd. When we talk about (“us”, “we”, or “our”) we are referring to Telic Group Ltd. When we talk about “you”, “user”, “users” “member”, “members”, “participant” and “participants” we refer to the community of registered users of Telic.
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, members, participants, and others who access or use the Service, in the United Kingdom (UK), the European Union (EU) and the United States of America (USA).
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
Membership
- The Service for members is available through a monthly subscription plan. By subscribing to the Service, you agree to pay the subscription fees associated with membership.
- All payments for subscriptions will be processed through Stripe, a third-party payment processor. You are responsible for providing accurate and up-to-date payment information to Stripe. Your payment information will be subject to Stripe’s Privacy Policy and Terms of Service.
- Your subscription will automatically renew on a monthly basis, and your payment method will be charged the applicable subscription fee unless you cancel your subscription before the end of the current subscription period. To cancel your subscription, you must follow the instructions provided on the Service.
- We reserve the right to change the subscription fees or payment terms at any time. We will provide you with at least 30 days’ notice before any such changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the new fees or payment terms. Notice of a change to subscription charges will be announced on the website.
- If Your Membership fee payment is overdue, we will disable your access to the features provided by Membership. We may, at our sole discretion, at any time and for any reason, terminate the Service, terminate this Agreement, or suspend or terminate your Membership. In the event of suspension or termination, Your account will be disabled and you may not be granted access to your account or Content (including Your Membership features) contained in your account, and we may delete Your User Content, although residual copies of information may remain in our system for some time for back-up purposes.
Member Invitations
- As a Member of the Service, you may invite other people (Participants) to use the Service. However, only members who have an active subscription may send invitations.
- You agree not to invite any person who has been previously banned, suspended, or otherwise restricted from using the Service.
- Those invited (participants) to connect with a member will be required to accept these Terms and Conditions before using Telic.
- Users (members and participants) must be 16 years of age.
Registration
You are responsible for maintaining the confidentiality of the access data for your user information and are fully responsible for all activities that occur under your Account. You agree to;
(a) immediately notify us of any unauthorised use of your Account or any other breach of security.
(b) ensure that you exit from your Account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.
Proper Use
We do not claim ownership over any user content submitted on or through the Service. Your user content belongs to you. However, by uploading any User Content to the Service, you agree that we may store and display your User Content solely as necessary in connection with the Service.
You understand that all User Content is the sole responsibility of the person from which such User Content originated. This means that you, and not us, are entirely responsible for all User Content that you upload, post, transmit or otherwise make available via your Account. We do not control the User Content posted via the Service and, as such, do not guarantee the accuracy, integrity or quality of such User Content.
You understand that by using the Service, you may be exposed to User Content that is offensive, indecent, or objectionable. Under no circumstances will we be liable in any way for any User Content, including, but not limited to, for any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available via the Service. You acknowledge that we do not pre-screen User Content but that we and our designees shall have the right (but not the obligation) in their sole discretion to refuse, modify or move any Content that is available via the Service. Without limiting the foregoing, we and our designees shall have the right to remove any User Content that violates the Agreement or is otherwise objectionable. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not reasonably rely on any Content created by us or submitted to us. You acknowledge and agree that we may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:
(a) comply with legal process;
(b) enforce the Agreement;
(c) respond to claims that any Content violates the rights of third parties; or
(d) protect the rights, property, or personal safety of us, our users and the public.
If we disclose User Content to comply with legal process or respond to claims that any User Content violates the rights of third parties to the extent permitted by law, regulation or legal process, We agree to provide you with prompt notice of any such legal or governmental demand and reasonably cooperate with you in any effort to seek a protective order or otherwise to contest such required disclosure.
You understand that the technical processing and transmission of the Service, including your User Content, may involve
(a) transmissions over various networks.
(b) changes to conform and adapt to the technical requirements of connecting networks or devices.
Should User Content be found or reported to be in violation with, but not limited to, the following terms, it will be in our sole discretion as to what action should be taken. You agree that you will not:
(a) upload, post, transmit or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another’s privacy (up to, but not excluding any address, email, phone number, or any other contact information without the written consent of the owner of such information), hateful, or racially, ethnically, or otherwise objectionable:
(b) harm minors in any way;
(c) impersonate any person or entity, including, but not limited to, a Telic. official, or falsely state or otherwise misrepresent your affiliation with a person or entity;
(d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any User Content transmitted through the Service;
(e) upload, post or otherwise transmit any User Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(f) upload, post or otherwise transmit any User Content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary rights of any party;
(g) upload, post, or transmit unsolicited commercial email or “spam”. This includes unethical marketing, advertising, or any other practice that is in any way connected with “spam”, including but not limited to:
(a) sending mass email to recipients who haven’t requested email from you or with a fake return address.
(b) promoting a site with inappropriate links, titles, descriptions, or
(c) promoting your site by posting multiple submissions in public forums that are identical.
(h) upload, post or otherwise transmit any material that contains software viruses, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
(i) interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service.
(j) intentionally or unintentionally violate any applicable local, state, national or international law.
(k) “stalk” or otherwise harass another.
(l) promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals. This may include, without limitation, providing instructions on how to assemble bombs, grenades and other weapons or incendiary devices.
(m) offer for sale or sell any item, good or service that (i) violates any applicable local law or regulation, (ii) You do not have full power and authority under all relevant laws and regulations to offer and sell, including all necessary licenses and authorizations, or (iii) We determine, in its sole discretion, is inappropriate for sale through the Service provided by Us;
(n) use the Account website as a redirecting/forwarding service to another website;
(o) exceed the scope of the Service that you have signed up for; for example, accessing and using the tools that you do not have a right to use, or having others share user logins, or deleting, adding to, or otherwise changing other people’s comments or User Content as an Account holder. If any user is reported to be in violation with the letter or spirit of these terms, we retain the right to terminate such account at any time without further warning.
Export Restrictions
You acknowledge that the Service, or portion thereof, may be subject to the export control laws of the United Kingdom. You will not export, re-export, divert, transfer or disclose any portion of the Service or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.
International Use
Recognising the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable User Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United Kingdom or the country in which you reside.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Telic Group Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom, the European Union and the United States. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Telic Group Ltd.
Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, European Union and the United States, without regard to their respective conflict of law provisions.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. We will notify you by posting an announcement on the website.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in full force and effect. Any invalid or unenforceable provisions will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
Limitation of Liability
In no event shall Telic Group Ltd, its affiliates, directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Telic Group Ltd does not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
Indemnification
You agree to defend, indemnify and hold harmless Telic Group Ltd and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Service.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate any of our rights or obligations under these Terms without restriction.
Entire Agreement
These Terms, together with any additional terms or policies referenced herein, constitute the entire agreement between you and Telic Group Ltd regarding the use of the Service, superseding any prior agreements between you and Telic Group Ltd relating to your use of the Service.
Waiver and Severability
The failure of Telic Group Ltd to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
